Article 1 - Name and Logo

SECTION 1. The name of this Corporation shall be “Hutchinson Figure Skating Association” (HFSA). The Association is a Corporation that complies with the provision of the Minnesota Nonprofit Corporation Act, Chapter 317 A of the laws of Minnesota, and all amendments here to.
SECTION 2. The logo shall be used in publications and stationery.

Article II - Articles of Organization

SECTION 1. The Corporation exists as an Association of its Incorporators and Members. The Articles of Incorporation shall govern in the event there is any conflict between these bylaws, as from time to time amended and the Articles of Incorporation of the Association.​

Article III - Description and Mission Statement

SECTION 1.  Description – Hutchinson Figure Skating Association is a volunteer organization supported by skaters and families that is devoted to the development of the amateur, recreational figure skater. HFSA functions at the individual and synchronized team levels and is given expression through activities such as practice and development of skating skills, performance in ice shows and exhibitions, and participation in I.S.I. competitions, test sessions, classes or workshops, and the purchase of club ice time. The Association shall work with the Hutchinson Parks and Recreation Department in running the figure skating program. The Association will work under the direction and regulations of the Ice Skating Institute (I.S.I.).
SECTION 2. Mission Statement – HFSA seeks to provide figure skaters a supportive atmosphere in which each skater can reach his or her skating goals. HFSA offers a high quality, recreational sports experience through practice and skill development, performance in ice shows and exhibitions, and participation in competitions and workshops. Involvement in HFSA promotes maturation of character and self-discipline, the development of social cooperation through peer interaction, and the acquisition of a lifetime sport. 
SECTION 3. Vision Statement – To foster an environment that will support recreational and competitive figure skating through active participation and team work, while maintaining financial stability.

Article IV - Membership

A. Member - Member -A member is a skater that is currently working on Freestyle 1 through Freestyle 10 who will use practice ice time and classes offered by HFSA to develop skating skills, perform in ice shows and exhibitions, and to participate in test sessions, competitions, classes and workshops and to purchase Hutchinson ice time.
B. Associate Member - Associate Member - Associate members are Pre-Alpha through Delta skaters. All associate members will be required to obtain an I.S.I number each skating season. Having an I.S.I number will not count towards soloist points until the skater is a full HFSA member. If an associate member wants to compete or participate in HFSA ice time, they will be required to pay HFSA membership dues, buy-in fees, and sign the skater-parent agreement form. They are not required to do any of the HFSA volunteer hour requirements. 
C. Participation and Responsibility
  1. A skater shall be considered a member of HFSA upon submission of an application and membership fee. A skater remains a member in good standing as long as her or his fiscal responsibilities are current, maintains current I.S.I. registration number and fulfills required volunteer time.

  2. Membership in good standing entitles a skater to participate in all club sponsored functions and activities, HFSA ice time, and to skate as a representative of HFSA.

  3. Responsibilities of those members who are eighteen (18) years of age and older may be fulfilled by the members, or a parent or guardian.

  4. HFSA membership assumes a commitment by skaters and families to support opportunities and functions of the club.

  5. The membership fee is an assessment to be paid with a skater’s initial application to the association on or before the first day of HFSA ice time in the fall. The fee is to cover costs related to administrative costs, show fee and I.S.I. membership.

  6. The Board of Directors shall adopt such rules and policies as may be necessary to define the provisions and responsibilities of membership, to establish benefits to the membership and to the HFSA mission statement.

Article V- Membership Meetings/Voting Privileges

 A. Annual Meeting - At the annual meeting and all special meetings of the membership, members in good standing shall be entitled to one (1) vote. For each such member who is less than eighteen (18) years of age, a parent or guardian shall exercise the voting privilege.
 
B. Special Meetings - Additional meetings of the membership may be called at the discretion of at least two (2) Board Members with notice being provided to all members at least three (3) business days in advance. A simple majority of those present and eligible to vote will be sufficient to conduct business.

Article VI - Governing Body

A. Board of Directors
  1. HFSA shall be governed by a Board of Directors (“The Board”) composed of no less than five and no more than nine members. The 4 officers are included in this total and an odd number of total directors should be chosen for voting purposes. The Board shall be elected from those skaters who are members in good standing or from those parents and guardians of minor skaters who are in good standing. Each minor skater has one vote represented by a parent. Two parents from the same family can only be Board Members with each able to vote if they have 2 skaters. Otherwise, only one parent per skater can be a Board Member. Each director may serve a two (2) year term. The term of office shall commence at the May meeting.

  2. The Board of Directors shall:
  • Transact necessary business in the interval between annual meetings to carry out the objective and mission statement of HFSA.
  • Create standing committees.
  • Approve the plans of work and budgets of standing committees.
  • Procure ice time, equipment, sponsors, and other needs of standing committees and the Association.
  •  Serve the term indicated in Article 7.
  • Act as a liaison between HFSA and the Hutchinson Arena, management staff and its parent body, the Hutchinson Park and Recreation Department.
3. The Board shall maintain authority on all financial matters. 

4. The Board shall meet monthly, and at other times it deems necessary. The monthly meeting day shall be decided at the first Board meeting following the May meeting. All Board meetings shall be open to the general membership. All Board Members are expected to attend at least 7 meetings in one year.

5. A majority of the Board of Directors shall constitute a quorum at all meetings of the Board.
 
B. Officers
The Officers of the club shall consist of the President, Vice President, Secretary and Treasurer. Terms for these positions are not limited to but no less than one (1) year, with the President term being two (2) years. Co-chairing of an officer position will be approved by the Board, if that is determined to be in the best interest of the club.​

  1. President - She/He shall preside at the meetings of the members or Board of Directors. Have general active management of the affairs of the Association. Be the chief executive officer of the Association and see that all orders and resolutions of the Board of Directors are implemented. Perform all duties incident to the office of the President. Be an ex-officio member of all standing committees. Appoint such committees as she/he deems necessary or appropriate. Appoint members of the Board of Directors and other persons to advise the association on such matters as she/he deems necessary and appropriate. Give required notice of meetings of the directors and or members. Present a report of operation and condition of the Association at the biannual membership meetings. Be authorized to sign or counter sign all checks and drafts of the Association. Perform additional duties as, from time to time may be assigned by the Board of Directors. 

  2. Vice President - She/He shall perform the duties of the president in the absence or disability of the latter. If the President and Vice-President are absent from a meeting then the Treasurer-Secretary-General Board Member is next, in that order to direct the Board meeting. Shall perform additional duties as may be assigned by President or Board of Directors. The Vice President shall be President Elect at the end of her /his term.

  3.  Secretary - She/He shall record the minutes of the Board of Directors and or members in the minute book of the Association. Shall sign or countersign all evidence of indebtedness of this Association. See to all correspondence of this Association, as directed by the President, or Board of Directors. Perform additional duties as assigned by the President or Board of Directors.

  4. Treasurer - She/He shall have custody of all funds of the Association. Keep accurate accounts of all monies, received and disbursed, of the Association. Deposit such funds in the name of, and to the credit of, the Association in such banks or depositories as a majority of the Board of Directors may from time to time, designate. Be authorized to sign and countersign all checks and drafts of the Association. Under the direction of the Board of Directors, disburse the funds of the Association, after verifying charges and expenditures. Render to the President and or the Board of Directors, whenever required, an account of all of her/his transactions as treasurer and a report of the financial condition of the Association. Perform additional duties as assigned by the President or Board of Directors.

  5. Board Members at Large - Shall be elected by the members for a two (2) year term. Each Board Member at Large shall perform duties as assigned by the President or the Board of Directors. 
C. Elections
  1. Prior to the May election, the Board shall notify individuals of Board vacancies and election date. Call for nominations and open positions will be announced in an e-mail, and contact person for interested individuals will be specified, along with established deadline for having name added to the ballot. Individuals are also able to contact any current Board member to have their name added to the ballot.

  2. Any additional nominations will be taken from the floor at the May meeting.

  3. Only those persons, who have given their consent to serve, shall be nominated for or elected to such office.
D. Vacancy of Office
Vacancy occurring in any office shall be filled for the unexpired term by a person elected by a majority vote of the remaining members of the Board of Directors.

As every situation can not be predicted or put in writing, the HFSA board, by matter of majority vote, will have the final decision on matters in question.
